Welcome to SalesSignals.ai. These Terms of Service (“Terms”) govern your relationship with us as a provider of consulting services. By engaging with our consulting services, you agree to be bound by these Terms.

SalesSignals.ai offers consulting services in the areas of sales strategy, market analysis, and business growth. Our services may include:

• Strategy sessions and business consulting meetings
   
• Data and market analysis reports
   
• Ongoing advisory support
   

Any engagement beyond the scope detailed in your service agreement may require additional terms.

• Engagement: Prior to any consulting engagement, both parties will enter into a separate service agreement (or Statement of Work) detailing the scope, deliverables, timelines, and fees.
   
• Payment: Fees for our consulting services are due as outlined in your service agreement. Payments must be made according to the invoicing schedule. Late or missed payments may result in suspension of services until resolved.
   
• Expenses: Any out-of-pocket expenses incurred on your behalf (e.g., travel, third-party fees) will be billed separately, subject to prior client approval.
   

• Ownership: All pre-existing intellectual property owned by SalesSignals.ai remains our property. Any materials or deliverables provided as part of our consulting services are licensed to you solely for your internal use.
   
• Usage Restrictions: You may not reproduce, modify, or distribute any deliverables or proprietary materials without our express written consent, except as necessary to implement our recommendations internally.
   

• Confidential Information: Both parties agree to maintain the confidentiality of any sensitive information disclosed during the consulting engagement.
   
• Obligations: We will not disclose your confidential information to third parties without your consent, except as required by law. Similarly, you agree not to disclose our proprietary methods, trade secrets, or consulting strategies.
   

To ensure a successful consulting engagement, you agree to:

• Provide accurate, timely, and complete information related to your business as requested by us.
   
• Designate a primary point of contact for communications and decision-making.
   
• Cooperate fully with our requests and recommendations.
   

• No Guarantees: While our consulting services are designed to improve your business outcomes, we do not guarantee specific results. Outcomes depend on numerous factors beyond our control.
   
• Service “As Is”: Our services are provided on an “as is” basis without warranties of any kind, whether express or implied.
   
• Liability: In no event shall SalesSignals.ai be liable for any indirect, incidental, or consequential damages arising from the consulting services provided. Our total liability shall not exceed the fees paid for the services under the relevant engagement.
   

• Termination by Client: You may terminate the engagement per the terms outlined in your service agreement. Any work completed up to the termination date shall be billed accordingly.
   
• Termination by SalesSignals.ai: We reserve the right to suspend or terminate services if you breach these Terms or the service agreement, or if continued service becomes impracticable.
   
• Effect of Termination: Termination does not relieve you of your payment obligations for services rendered, nor does it absolve either party of confidentiality obligations.
   

• Governing Law: These Terms and any service agreements shall be governed by and construed in accordance with the laws of Singapore.
   
• Dispute Resolution: In the event of a dispute, both parties agree to attempt resolution through informal negotiation. If a resolution cannot be reached, the dispute will be submitted to mediation or, if necessary, binding arbitration, unless prohibited by applicable law.
   

SalesSignals.ai reserves the right to modify these Terms from time to time. Any changes will be provided to you in writing or by posting an updated version on our website. Your continued engagement with our services after any modifications constitutes your acceptance of the revised Terms.
